Our client, a prestigious law firm with a national footprint, seeks to appoint a Commercial Attorney to join a growing team in the Corporate & Commercial Department. The ideal incumbent will have the relevant qualifications as well as 3 years post articles experience within a general corporate or commercial environment. Previous exposure to Financial Services Sector Law will be advantageous.
REQUIREMENTS
• The ideal candidate will be an Admitted Attorney with at least 3 years post articles experience practising in a general corporate and commercial practice with prior experience in, and/or a particular interest for, financial services sector law.
• Excellent interpersonal and writing skills;
• Ability to administer and execute instructions, from receipt to conclusion, with minimal professional supervision and delegate and work with junior professionals within and outside of the Corporate & Commercial Department;
• Strong organisational skills, meticulous and high attention to detail;
• Ability to prioritise and co-ordinate work in order to meet deadlines in a highly pressurised environment; and
• Ability to take initiative and assume responsibility for monitoring expeditious progress of transactions.
KEY RESPONSIBILITIES
• Involvement in all aspects of mergers and acquisitions (M&As), joint venture and private equity transactions, such as:
o conducting legal due diligence investigations and preparing reports;
o forming new business entities and structuring businesses and their corporate affairs;
o drafting/negotiation/review of a host of transaction documents (including term sheets, subscription agreements, sale of shares agreements and sale of business agreements); and
o managing workstreams on transactions and facilitating closing and implementation procedures;
• Advising on various aspects of applicable legislation in an M&A context, including, but not limited to, the Companies Act, 2008;

• Drafting/negotiation/review of constitutional documents, memoranda of incorporation, shareholders' agreement and general company secretarial attendances (for instance, the preparation of notices and minutes of meetings and company board and shareholder resolutions);

• Drafting/review of an assortment of commercial contracts (for example, nondisclosure agreements, service level agreements and lease agreements) and providing legal advice thereon; and

• Research and furnishing legal opinions and advice on a wide range of legal issues (first-hand experience with the financial services sector legislation is preferable).
