The primary purpose of the Commercial Contracts Managerâ??s role is to manage contracts creation and execution ensuring that all contracts are awarded in compliance with a strictly applied tender process. Monitor contract performance and compliance in accordance with the contract management plan, risk management plan and organizational policies and procedures. Namibian Citizen

Job Specification;

Contract Management

  • Manage commercial contracts allocation
  • Monitor contract performance and compliance in accordance with the contract, contract management plan, risk management plan and organizational policies and procedures.
  • Ensure that all contractual obligations, deliverables and exposures are managed timely and correctly
  • Ensure processes and governance are implemented
  • Manage commercial and contractual relationships and negotiations with clients
  • Ensure that all contracts awarded meet legal, commercial and group requirements at all times.
  • Work closely with other department teams to ensure effectiveness for contract management processes.
  • Ensure that appropriate document control is maintained and formalises end-user’s contractual requirements
  • Ensure that inputs from key role players are obtained to ensure that requirements are met.
  • Draft and negotiate legal agreements and contract changes when necessary.
  • Roll out and manage Contracts/agreement register and profile contracts according to risk
  • Complete and roll out best practice guidelines for optimizing commercial leverage for company

 

Contracts Optimization and Policy Development

  • Identify potential contract items and take the necessary steps to ensure such items are added to existing contracts or appropriate contracts to be established.
  • Take cognizance of and action requests from end-users and suppliers for the adding and / or removal of items to contracts in consultation with the appropriate Department Director.
  • Interface with accountable Department Manager(s) to ensure that contract administration requirements are met.
  • Identify contract risk areas and advice Department Manager(s)  on necessary changes for the benefit of the business
  • The incumbent is also held accountable for the output of the direct subordinate(s) under his/her supervision ensuring adherence to Company operational policies, procedures.

Contract Cost Management and Cost Savings

  • Identify opportunities for cost savings through efficient, integrated processes and strategic use of systems.
  • Ensure all parties are informed on contract price adjustments as they come into effect.
  • Ensure a Savings register is maintained and logged as a KPI for Section.
  • Develops the relevant guidelines and terms for Price and Supply agreements
  • Develop knowledge on industry characteristics and trends so that the Company can optimize its contract spend.
  • Gives due consideration to recommendations from the Preferential Procurement Personnel with regards to socially and economically disadvantaged suppliers and /or service providers.
  • Review tender procedures and regulations to ensure compliance to DPM Corporate standards and best practice.
  • Review tender documents to that ensure all Tender submissions meet both the functional & technical requirements standards as well as relevant compliance requirements.
  • Ensure that the Tender Board award tenders in fair and ethical manner as established in the organization tendering procedures.
  • Develop tender and contract documents involving supplier negotiation, negotiating contract terms and conditions and supplier management.
  • Ensure that all Tender compliance documents are filed and regularly updated (Tax Clearance, BEE etc.).
  • Ensure all Tender registers and folders are maintained and reviewed for completion and compliance.
  • Monitor correspondence between the Company and Tenderers to ensure transparency and fairness of the tender process.
  • Monitor and implement the functioning of the Company’s internal tender policy
  • Recommend changes to Management on the procedures for the internal tender process and ensures their compliance with the Company’s overall strategies and goals.
  • Identify areas of concern and make expert recommendation to the Tender Board on the methods that need to be implemented to improve tender processes and commercial benefit to the company.
  • Assist in drafting tender specifications and requirements
  • Ensure that all Tender documents are available and Tender Board meetings and have been viewed and signed off as per procedure.
  • Liaises and consults with clients, contractors and internal staff in order to develop and implement contract renewal and extension plans.
  • Review modifications, extensions and contract closeout documents.

Contracts Statutory Compliance Management

  • Implementing effective Compliance systems and processes
  • Liaise with external Legal Counsel and other stakeholders where required
  • Ensures that the company’s contractual policies and procedures are adhered to at all times.
  • Ensures that the departments conduct regular contract meetings, facilitate where required.
  • Understand and interpret terms and condition clauses that pertain to liability, indemnification, warranty, and liquidated damages.

Stakeholders Relationship Management.

•      Manage the contractual relationship between the Company and Contractors

•      Gives guidance and training to tend users on Contract management

•      Establishes and maintains effective relationships with contractors, so that the benefits of better communication and understanding may be reaped by the company.

•      Monitors contractor compliance to contractual agreements.

•      Provide training and information sessions for suppliers and Contractors on new projects and opportunities as well as Code of Business Conduct and Ethics.

•      Addresses contractual issues with suppliers and service providers where appropriate.

•      Keeps the end-users informed with regard to the latest issues involving their contracts and the influences that external forces could have on their situation

•      Ensure end users have” kick off” meetings and regular contract performance meetings

Effective Human Management & Leadership

•      Provide leadership, advice and support to staff within the team

•      Set individual and team goals to support departmental objectives

•      Direct subordinates to achieve individual and team objectives

•      Assess subordinate performance and implementing corrective measures where necessary

•      Identify the training and development needs of subordinates and implementing them

•      Provide mentorship as required

•      Develop and implement career and succession plans to increase section and individual effectiveness

Minimum Requirements;

  • Non negotiable - Namibian Citizenship or Permanent Residency
  • Position is situate in a remote area approximately 4 hours from Windhoek!
  • Bachelor’s Degree in Supply Chain Management or Business Management
  • Additional Contract Management or Contract Law qualification is required
  • Minimum of 10 years’ experience in Supply Chain of which 5 years’ experience gained in a Contracts Manager position in the Mining industry
  • Proven knowledge and experience of Contracts management and negotiation.
  • Proven knowledge in Contract Law
  • ERP/Contracts module knowledge
  • Excellent verbal and written communication skills
  • Must be Computer literate (Excel)
  • Good organizational skills and ability to lead and motivate staff
  • Strategic partnering skills (e.g. cooperation with common goals)
  • Relationship management skills
  • Negotiation skills
  • Risk management skills
