Your key job responsibilities as the Company Secretary (Legal) in Johannesburg will include:

- General corporate secretariat work including the incorporation, restructuring, deregistration and winding up of companies (private, public, non-profit and external) and other juristic persons (such as close corporations and trusts)
- Drafting of checklists
- Preparation of all changes in respect of company secretarial documentation such as change of directorship (including board/shareholder resolutions) (CoR39), change of financial year end (CoR25), change of registered office (CoR21.1) change of auditors and company secretary (CoR44) and attending to preparation of documents for lodgement with the Companies and Intellectual property Commission (“CIPC”), attending to share transfers (including board resolutions, share transfer forms and share certificates)
- Assisting clients with share registers etc;
- Drafting of resolutions and company secretarial documents
- Advising on company secretarial processes and functions including attending meetings, advising colleagues (including senior practitioners) on the process and procedure of CIPC, supporting documentation required for filing with CIPC, time periods, filing fees etc.
- Deregistration/restoration of companies including drafting of deregistration applications on behalf of clients and restoration documents
- Annual returns and CIPC filings including informing clients of obligation to attend to payment, attending to payment of annual returns on behalf of clients and colleagues and ensuring that the annual financial statements are lodged with CIPC
- Liaising with/advising clients including attending meetings with colleagues and clients and advising clients in respect of company secretarial process and procedure
- Advising on the Companies Act and corporate governance including advising on the company secretarial framework under the Companies Act, 2008 and “best practice” corporate governance
- Liaising with CIPC in respect of amendments required to registered documentation and/or queried documents, reviewing and distributing practice notes, etc.
- Appointed company secretary for approximately 50 entities and liaising with London office
