The Company seeks an Articled and Admitted young attorney looking to craft a career in the corporate environment. Ideal candidate will implement and administer the Contract Management Framework and Policy of the Company, performing the duties and responsibilities of a Company Secretary as required by the Corporations Act (CA), the Company's MoI and any other relevant legislation or regulation.

Key Responsibilities

- Ensuring that the Company complies with its statutory obligations under any relevant laws and regulations.
- Maintaining a register of statutory records and ensuring requisite retention of documents and records.
- Ensuring completion and lodging of statutory forms/returns and reporting under the Corporations Act and other relevant legislation/regulation including annual accounts; annual returns and change in Directors.
- Ensuring compliance with the continuous disclosure requirements of the Corporations Act.
- Recording declarations or conflicts of interest of Directors including in relation to securities held in the Company.
- Assisting with or attending to the signing of Contracts and other documentation in connection with administrative matters.
- Maintaining a corporate governance policy / manual for Directors or management.
- Managing board meetings and necessary correspondence with board members.
- Liaising with accountants; auditors and other professional advisers in relation to various corporate matters.
- Managing a centralized company Contract Management System.
- Reviewing all contracts and managing compliance with all contract requirements.
- Managing partner and service provider contract delivery and performance.

Qualifications and Experience

- A minimum of 3 years post admission experience.
- A tertiary qualification in Law.
- Proven contract management and governance experience.
- Deadline driven and able to achieve outcomes with minimal direct supervision.
- Appreciation for non-profit organisations.
