Job Description:
Group Legal and Compliance Officer

Duties:

· AGOA Quota Allocations compliance

· Review, research and provide legal advice on Company related matters

· Register participation with the CGSO

· Review, negotiate, prepare and advise on legal agreements and documents for Company, its associates and subsidiaries

· Review and/or prepare legal communications relevant to the Company, its associates and subsidiaries

· Review progress on litigation matters, liaise with external legal representatives and advise on the way forward

· Liaise with relevant departments within the Company to ensure that where legal risks have been identified, appropriate course of action has been taken

· Consider and prepare case and financial analysis

· Prepare monthly management reports

· Maintain Legal library

· Creating staff declarations for the procurement team and senior management

· CGIC claims and legal recoveries

· Lead projects relating to property acquisitions and associated financing requirements

· Assist with guidance and support regarding licence conditions of the Company, its associates and subsidiaries

· Establish and monitor EE plan at group level

· Assist with guidance and support regarding skills development

· Registration with FICA and related duties

· Prepare and update charters, policies and procedures, minutes etc.

· Assist HR with labour related matters including but not limited to employment contracts, Company policies and disciplinary proceedings

· Provide strategic direction for compliance program

· Develop and deliver all needed internal and external training as needed to ensure the compliance needs

· Ensure the Company fills out and submits all its legal paperwork

· All necessary tasks to maintain department running at optimal level

· Contract Management - Preparation, review and negotiation of bilateral and multilateral contracts of any kind;

· Identifying possible legal risks associated with contracts, ensure compliance of contracts with corporate regulations

· Legal Advice - Provide legal advice on organisational issues, incorporation and dissolution of companies, organising the maintenance of on-going documents in compliance with applicable law

· Initiate structural changes caused by economic considerations or mandatory for statutory reasons on any matters of legal relevance raised by senior management or other officers and employees

· Risk Identification - Identify potential areas of compliance vulnerability and risks

· Develop/implement corrective action plans for resolution of problematic issues and provides general guidance on how to avoid or deal with similar situations in future

· Reports - Provides reports on a regular basis, and as directed or requested, to keep senior management informed of the operation and progress of compliance efforts

· Management of external counsel

· Oversee lawsuits

· Draft various agreements including commercial contracts, membership agreements, policy wordings and scripts

· Provide advice on various statutes

· Provide advice on commercial matters

· Advise the executive and employees on changes to the law affecting the Company

· Investigate if the Company or staff members do not comply with the law

· Know how to recruit, train, manage and retain legal talent

· Manage the legal budget to get the most service for the least money

· Be conscious of the needs of the Company’s owners

· Stay informed about what’s going on at the Company

· Understand the business and the industry

· Develop and implement effective legal compliance program

· Create sound internal controls and monitor adherence to them

· Draft and revise Company policies

· Proactively audit processes, practices and documents to identify weakness

· Evaluate business activities to assess compliance risk

· Collaborate with external auditors and HR when needed

· Set plans to manage a crisis or compliance violation

· Educate and train employees on regulations and industry practices

· Keep abreast of internal standards and business goals

· Conduct legal analysis and research on various legal matters of the Company

· To assist in reviewing the legal material and any other relevant documents and to identify the most important issues that need to be sorted on a priority basis

· All other related legal matters as they arise from time to time. Above list is not exhaustive

· To undertake any other duties as requested by the Compliance Director, commensurate with the skills and experience of the post holder.

· To have responsibility for the Health, Safety and Welfare of self and others and to comply always with the requirement of the Health and Safety Regulations.

Requirements:

LLB or B.Com Law Accounting degree
3 years’ post admission experience
Admission as attorney advantageous
Admission as conveyancer advantageous
Broad knowledge of commercial practices and processes
Strong Microsoft Excel skills required
Proficiency in using Microsoft Outlook and Word
Administrative management experience, with responsibility for maintaining records
Bilingual with a strong command of the English language
Excellent written and verbal communications skills
