Legal Advisor - Corp & Comm

Ensure that the legal and regulatory business needs are satisfied by providing legal expertise and support for all legal and legal-related matters, as well as for certain regulatory compliance-related matters and company secretarial matters. This will be achieved by:
Assisting the business to keep on top of relevant legislative, regulatory and industry changes
Providing legal opinion, counsel and interpretation (which will include contractual drafting, vetting and negotiating)
Providing clear and succinct reporting on legal developments and compliance
Providing quality representation (internally and externally)
Proactively assisting in prevention of non-compliance with relevant legislation, regulation and contractual obligations
Responsible for assisting in a variety of assigned legal projects, act as counsel on basic issues involving company compliance with governmental and
regulatory standards, review legal documentation and provide advice on appropriate action, coordinate legal matters requiring external legal assistance
on top of all this, contribute meaningfully towards ensuring that the business functions well for our clients.

3-5 years practical legal experience (including articles)
Experience in negotiating, drafting and process management of commercial transactions and agreements
Highly Advantageous/Preference will be given to candidates with:
Dealings within the financial services industry, asset management in particular, and good knowledge of investment type-products and financial instruments
Current and relevant knowledge of drafting financial services ‘type’ agreements and all legal ‘aspects’ of a global best practise asset manager
Working knowledge of/experience with financial services legislation (especially Collective Investment Schemes Control Act, Financial Advisory and Intermediary Services Act, Long- Term Insurance Act, Financial Intelligence Centre Act, Pension Funds Act, Financial Markets Act, Exchange control regulations,) and other key legislation (especially Protection of Personal Information Act, Companies Act)
Abreast of key ongoing regulatory developments in the financial services industry
Experience at a financial services institution, preferably an asset manager, linked investment services provider and or a management company
Strong computer literacy

Key Areas of Responsibility / Task Requirements:
Provide legal input & opinions (including drafting) when agreements are being negotiated on behalf of the company and vetting agreements drawn up by other parties and commenting thereon (such as with service providers)
Draft and review retail distribution and service level agreements, e.g. with other third party management companies, fund managers and LISPs
Draft and review institutional client agreements, e.g. Portfolio Management Agreements with institutional clients and consultants
Draft and review various 3rd party service provider agreements Assist/resolve ad hoc legal issues
Furnish legal opinions and advice concerning the company and its clients (verbal and written)
Advise management, employees and clients on all legal & compliance matters that affect business decisions
Advise and assist the Investment Team regarding various matters, such as corporate actions, ‘inside information’ matters, Companies Act and JSE Listings Requirement issues etc.
Have/fast obtain a sound working knowledge and be able to effectively deal with issues arising under the Collective Investment Schemes Control Act, Financial Advisory and Intermediary Services Act, Long-Term Insurance Act, Financial Intelligence Centre Act, Pension Funds Act, Financial Markets Act, Protection of Personal Information Act, Exchange control regulations, Companies Act, Financial Institutions (Protection of Funds) Act, National Credit Act.
Perform regulatory lobbying - this includes to assist in reviewing of and commenting on new and draft legislation/sub-ordinate legislation/ Circulars/Discussion Documents etc, including with a view on how that impacts the company and its operations
Liaise with the Financial Services Board and manage applications in terms of Collective Investment Schemes Control Act, such as s65
Represent the company at relevant industry workshops/working groups with regard to relevant asset management legislative developments
Research and engage with regulators and counterparties in our ex-SA regional offices, as well as ex-Africa
Provide input on various policies, especially Compliance related ones
Advise in regard to monitoring compliance with client mandates, applicable legislation and internal rules, processes and policies
Assist and support the Compliance team (re Investment and Trading) on permissible investments / investment restrictions
Assist in further developing, promoting, implementing and maintaining standards and procedures that enable employees to act in an appropriate manner i.e. in line with the company’s values and in compliance with internal policies and legislation
Advise on internal corporate related matters especially regarding the Companies Act
Record-keep – maintain good records of agreements, processes, monitoring outcomes, breaches and courses of action
Assist with internal training and education as may be required – this may, over time, require work leadership and mentoring to less experienced attorneys
Assist with the completion of statutory returns, such as those to be submitted to regulatory bodies
Assist with rolling out Group Legal policies, procedures and controls and report on nonadherence at the appropriate level where necessary
