Litha Healthcare Group Ltd seeks to appoint a Legal and Administrative Officer on a fixed term contact basis in its Shared Services Divion situated at its Head Office in Midrand and reporting to the Group Corporate Affairs Executive.

Purpose:
To provide effective Legal and Compliace administration service to the company, its divsions (and its subsidiary companies).

Act as the leading interface between the Legal and Corporate Affairs Executive and other executives of the Group, ead os division and various business units on Legal and Compliance matters.

General Legal Administration.

PRINCIPAL ACCOUNTABILITIES

Legal and Compliance
Assist int he provision of strategic leadership to the Corporate Servies and Legal Compliance Department.
Assist in setting Legal and Compliance objectives, goals and strategies for the Group, divisions and various business units.
Development and implementation of the Compliance managment process.
Managing the Compliance framework
Updates on new legislation, regulations, codes and guidelines.
Assist in policy and SOP monitoring and implementation
Assist in the anlysise of audit findings, identify risks and suggest improvement plans.
Assist in the development of all relevant Legal and Compliance related policies for the Group.
Assist with the implementation of Group Socio-Economic development initiatives.

Regulatory Compliance Framework
Understand and keep up to date with legal and regulatory changes in the Group's industry and its business environment, and formulate a plan of action to ensure that the company complies with all relevant laws.
Assist in the establishment of an effective and efficient Compliance framework to diligently and continuously follow the steps and Compliance requirements; and to always focus on simplifying and clarifying the Goup's Compliance framework.
Assist in ensuring proper planning to identify new or amended legislation/regulations, understand the legislation/regulations, assign accountability and design procedures to address risks, train employees and execute Compliance procedure and monitor Compliance with procedures and training requirements.

Contracts Management and Negotiations.
Review all contracts or any other documentation with which the Group has committed itself and assess legal implications that need to be brought to the Chief Executive Officer or Executive Management's attention.
Prepare, review and modify contractual instruments to assist and support various business activities.
Provide assistance with due diligence for global, local joint ventures, strategic partnership deals and mergers and acquisitions.

Legal Risk
Review and provide legal advice on Group documents and correspondence.
Liaise with relevant departments to ensure that where legal risks have been identified, appropriate intervention and resolute action is taken.
Assist in providing legal protection and risk management advice to management especially on contract management.
Provide and interpret legal information and disseminate appropriate legal requirements.

General Legal Office Administration
Provide efficient and professional adminstrative support to the Legal and Corporate Office.
Plans and Schedule meetings (Diary Management)
Organises and accurately maintains legal filling system.
Record all Group agreements.
Manages agreement register with the salient terms e.g dates etc
Notify the HOD's regarding agreements expiry dates/auto renewals and other obligations needing attention.
Assist in drafting and reviewing agreements
General administration of the legal documents e.g. courier signed agreements to stakeholders and third parties.
Prepare Board packs and distribution thereof.
Co-ordinate travel and accommodation arrangements for the Group Corporate Affairs Executive and, on accasion, the directors of the company.
Handle email correspondence.
Prepare agreement templates that can be used by the company from time to time.
Managing the company's intellectual property register, relating specifically to trademarks.

JOB SPECIFICATIONS
Experience and education:
LLB or Para-Legal Diploma
Knowledge of the South African Laws
Approximately five years experience as a Legal and Adminstrative Officer and a minimum of two years as a Legal Secretary.
