Responsibilities of the role include:

Group legal activities:

• Assist vetting and drafting all agreements pertaining to the Paycorp Group of companies including; Merchant agreements, key account agreements.
• Providing legal advice as requested and legal support to the commercial team as well as ad hoc requests.
• Providing opinions on legislation and policies when necessary.
• Assisting with overall compliance with legislation, regulatory requirements and company policies.
• Updating the legal compliance risks and managing steps to mitigate risks.
• Instructing attorneys on legal matters within the Paycorp Group of companies.
• Assisting with the management of all the company’s intellectual property such as patents, trademarks, etc.
• Implementing the end-to-end contract process which includes physical storage , scanning to the network drive and sending the originals off-site.
• Understanding which contracts are in place, how those would be affected by new agreements and advising management accordingly.
• Assisting with corporate activity such as mergers, acquisitions, etc. by carrying out legal due diligence and the integration of new companies.
• Ensuring that new companies fit into the compliance framework.

Company secretary office:
• Overseeing and facilitating the Company Secretary services from the outsourced provider.
• Using knowledge and understanding of the Companies Act to ensure that appropriate actions are taken such as passing and implementing resolutions when the Board takes decisions.
• Managing of legal company documents and ensuring proper execution thereof.

Merchant work:
• Assist vetting and drafting Merchant agreements and key account agreements.
• Providing legal advice as requested and legal support to the commercial team and managing breach and settlement procedures.
• Drafting the appropriate legal letters and addendums related to merchants.
• Instructing attorneys on legal matters within the Paycorp Group of companies.

• Legal Degree (LLB/Bproc) or Bcom Law
• Compliance
• Contract Drafting Skills
• 1-2 years corporate experience
