One of our client is looking for an individual who will take up the Legal Secretary Role.

Job Specification

To provide Company Secretary support to subsidiary companies and entities housed within Company and ensure compliance with the requirements of the new Companies Act through planning and administration of all Companies subsidiaries/entities meetings. The appointee will be assisting with the implementation and enforcement of good corporate governance and regulatory compliance practices throughout the Group, in accordance with current legislation, applicable regulatory requirements and accepted best practices.
They will also assist with all legal matters within the business as well as with the statutory duties of the Company Secretary

Risk & Cost Minimization
Ensure compliance of Bank to Companies Acts and regulatory requirements at all times, thereby minimizing or avoiding financial risk for the business.
Internal and external stakeholder collaboration Management
Action ad hoc requests from subsidiaries / entities executives, and relevant external stakeholders
Effective planning and administration of subsidiaries/entities meetings
Draw up roster for meetings for forthcoming financial year and liaise with stakeholders to schedule these; draft agenda for meeting, liaising with relevant directors; liaise with management to get required reports; compile and distribution of meeting papers; take minutes, recording proceedings of meetings; answer queries / advise in meetings as necessary; where necessary, draft action items and follow-up.
Company Secretariat Management
Proactively monitor, review and anticipate compliance issues with subsidiaries/entities and the business; follow-up to ensure compliance; in instances of non-compliance, resolve with regulator and Directors concerned. Maintenance of the secretariat procedure manual

Maintain and update procedural manual; ensure that parties have a copy of manuals and that they are aware and comply with compliance issues regarding relevant Acts; discuss new/amended Acts with Directors and all relevant stakeholders to ensure clear understanding; provide information and advise where possible
Ensure compliance by The Investment Bank and subsidiaries/entities with relevant legislation, internal policies and processes and ensuring that failure to comply with relevant legislation are reported as required
Draft, amend or update policies and governing documents, circulars, notices, prospectuses and Annual Reports. Stemming from legislative and ad hoc requirements, draft, amend or update policies and governing documents, circulars, notices, prospectuses and Annual Reports.
Ad hoc company secretarial functions
Arrange completion of various insurance questionnaires; facilitate indemnities process; occasionally attend conferences and give presentations; submit returns to group/regulators; liaise with shareholders to resolve any problems they may have

Education

LLB or relevant legal degree
Minimum Requirements

• 5 years experience in Legal Corporate environment
• 3 years experience in contractual agreements
• 3 years experience in procurement processes
• Matric / National Senior Certificate
• LLB and completed articles
• Commercial law experience in a legal practice
Commercial law outside a legal practices
