Job Purpose

Coordinates and administers activities related to the Board of Directors and related committees of an organization. Responsible for planning meetings, generating reports, meeting minutes and materials, conducting research, and communicating with board members regarding related activities.

KEY RESPONSIBILITIES

• To offer administration and support to Company Secretary and ensure the effective functioning of office.
• Ensure the smooth running of the Board, its respective sub-committees and Exco activities by assisting the Company Secretary and the CEO to set agendas, keep minutes of the meetings and prepare papers.
• Prepare and distribute Board agendas and packs
• Keep Board time an attendance register and record.
• Keep up to date all board records and resolutions
• Responsible for capturing and tracking of tasks allocated.
• Assist in drafting the Annual Report, including remuneration disclosures and agreements with the Board and Board sub-committees.
• Ensure compliance with all statutory filings, annual returns, filing of resolutions adopted at Annual General Meetings/new Memorandum of Incorporation and any other filings required to be made with CIPC and that all company secretarial documents are properly stored.
• Coordinate the inducting new directors into the business and defining their roles and responsibilities.
• Manage and arrange Board Meetings.
• Establish items to be considered at the Board Meetings including resolutions dealing with governance type matters, e.g. vote on the Remuneration report and votes on special incentive schemes involving directors.
• Facilitate communication between management and board members. Ensure reports and documents are communicated effectively to relevant clients.

MINIMUM REQUIREMENTS
EDUCATION

• Matric
• National Certificate in administration
• Chartered Secretary qualification will be an added advantage

MINIMUM EXPERIENCE

• 2 Years’ experience as an administrator

KNOWLEDGE / SKILLS
• Excellent computer skills- Word, Excel, Outlook and Access
• Knowledge of book keeping
• High level of accuracy when handling data.
• Good inter-personal relations.
• Financial administration
• Self-disciplined, work overtime and under pressure with minimam
