Role: Paralegal

Duties:

1. Contract management
a. Assist in preparing new agreements, memorandums of understanding, working from and improving existing agreement templates.
b. Gathering information from business units and parties entering into agreements and completing the agreements ready for signature
c. Ensure that the shareholder agreements, purchase and sales agreements and any other company or inter-company or shareholder agreements are completed, signed and up to date.
d. Ensure proper review of agreements.
e. Manage version control and ensure old templates are no longer available in the shared folders.
f. Work with the shared services contract admin clerk to ensure that contract control sheet and folders are accurate, complete and up to date.
2. Company Secretarial and CIPC work
a. Preparation of resolutions and CIPC forms for required changes, registrations or de-registrations.
b. Assistance with annual returns.
c. Preparation of CIPC forms and documents required
d. Submission of applications and changes with supporting documents to CIPC and follow up to ensure completion of the same
e. Ensuring the company has the latest copies of compliant information and documents relating to organisations, directors and shareholders.
f. Preparation of, arranging review of and getting signatures on all agreements that are relevant and necessary for the any shareholder, director or other changes in group companies or group managed companies.
g. Ensuring that all entities have an up to date registered MOI and shareholder agreement.
h. Keeping CIPC records up to date on any changes in physical or postal address, director name changes or any other matter necessary to be registered with CIPC.
i. Preparation of share certificates and arranging for their sign off.
j. Keeping of share registers up to date once any share transactions have been finalised.
k. Liaising with other departments and managers where necessary to complete the company secretarial tasks
l. Ensure that the group companies data sheet is up to date, complete and accurate at all times.
m. Ensure that each of the entities statutory control sheet is up to date and the latest copy appears in the statutory folder of each entity at all times.

3. SARS registrations and changes at SARS offices
a. Work with the CFO, the COO, the group CEO and any other related person to implement any required registrations or changes for any of the entities at the SARS offices.
b. Preparation of resolutions, powers of attorney and document packs as may be required for such registrations or changes.
c. Escalation and follow up where necessary to resolve any challenges.
4. Occupational Health and Safety System
a. Assist with the implementation and management of a group OHS system
b. Work with the contract admin clerk and National Quality manager of the Signa Academy in assessing the OHS position and areas for improvement
c. Ensure all necessary documents and appointments are in place.
d. Ensure the necessary hard copy and electronic files are in place.
e. Assisting business unit managers in knowing what needs to be in place and checking that the designated person in each business unit has adequate knowledge and skills to ensure OHS compliance in their area.
f. Arranging with the admin clerk for a Group OHS control sheet to be established, populated and established to give group management and business unit managers a snapshot of their OHS requirements and position.
g. Work with Human Resources and the business unit managers to ensure that they have the necessary records of the OHS appointments and training needed and done.
h. Along with business unit managers, the contract admin clerk and the Signa academy NQC manager monitor compliance and ongoing maintenance of the OHS system.
5. General
a. Stay abreast of all relevant company and other legislation which would impact on the role, duties and responsibilities
b. Notify management of any perceived risk or material changes in legislation that they should be aware of.
c. Assist with any adhoc duties which may be required from time to time.
d. Guard the confidentiality of contracts and agreements, company and personal information with which the role will work from time to time.
e. Comply with POPI and any other related legislation in dealing with documentation and agreements.
f. Use professional judgement and discretion in written and verbal communications and completion of tasks.
g. Ensure that the records, documents and folders are properly named and stored in a logical and uniform manner and that they are shared with the relevant authorised parties in each of the business units.
h. Assist other departments and business units with necessary statutory or contract information, always being mindful of confidentiality and ‘need to know’ constraints on said information, agreements or documents.
i. Assist the bids and proposals department where relevant with information
j. Liaise with and assist other company secretarial, legal and OHS service providers relating on an in or out-sourced bases to any of the group entities or investments.
6. Reporting
a. Supply the Group Chief Operating officer with summary reports on the progress of projects and tasks being undertaken by the role in the different functional areas.
b. Notify the Group COO of any constraints or difficulties experienced in achieving completion of any of the tasks.
c. Inform relevant business unit managers and the COO when requested tasks have been completed.

Requirements
a. A minimum of a paralegal/Law qualification or other relevant legal qualification relating to company and contract law
b. Experience of liaisons with relevant parties, departments and business units to effectively complete tasks.
c. Experience in working with contracts
