Company Secretary/Public Officer
Responsible for ensuring that an organisation complies with standard financial and legal practice and maintain standards of corporate governance. They therefore require an understanding of all statutory.
Key Performance Areas
? Communication Skills
? Familiarity with Companies Act of South Africa
? Interpretation Skills of various acts of regulatory bodies
Core functions
? Maintaining Company Sensitive Documents, High level Meetings- Minute taking, Correspondence with Regulatory bodies and regulatory filings
? Maintaining statutory books, including registers of members and directors
? Dealing with correspondence, collating information and writing reports and ensuring decisions made are communicated to the relevant company stakeholders
? Contributing to meeting discussions as and when required and advising members of the legal, governance, accounting and tax functions on the implications of proposed policies
? Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action
? Liaising with external regulators and advisors, such as lawyers and auditors
? Taking responsibility for the health and safety of employees and managing matters related to insurance and fixed assets; and
? Developing and overseeing the systems that ensure the company complies with all applicable codes and
? legal and statutory requirements
? Maintaining the register of shareholders and monitoring changes in share ownership of the company;
Minimum Qualifications
? Certification: Chartered Secretary: ACIS (Institute of Chartered Secretaries and Administrators)or Equivalent
? B.Com OR equivalent Degree with Specialisation in Insurance & Risk Management
? 3 Years to 5 years
? MS Office Suite & Basic Computer Literacy
