We are urgently recruiting a Company Secretary for the Financial Services Division of one of our Clients:
Skills & Qualifications required:
You must have good oral, written and interpersonal skills as well as excellent presentation skills
Computer literacy is essential
You must be able to demonstrate the ability to multi-task, to meet deadlines, and to be innovative in a high pressure environment
Effective communication and reporting skills across the business is essential
Attention to detail is required.
Ability to work independently and resolve problems effectively and promptly
Knowledge and working experience of the Banking Industry would be an advantage
Key Performance areas:
Responsibility for secretarial and statutory administration of all Financial Services local and offshore companies
Prepare and send out internal correspondence to board and committee members
Compilation of agendas, board papers, minute taking and meeting management for board and committee meetings for various entities
Maintain Statutory records, register and minutes books
Income Tax and Vat registration and assist with PAYE, EMP and SDL registrations for Financial services companies and Trusts
Maintain and update approval framework, board charter and committee terms of reference
Oversee the drafting of the Financial Services divisional report for input into the Group annual report
Draft SARB and FSB motivations/applications and correspondence and ensure statutory compliance with the Banks Act and regulations and FSB requirements
Act as advisory to the board, committees and general staff and ensure compliance in respect of Corporate Governance, Companies Act, and King III requirements
Draft and review agreements drafted by external parties and attend to any secretarial actions arising from these agreements
