Great company looking for a Compliance Officer.

Duties:
A. The Companies Act
• Providing the directors of the company collectively and individually with guidance as to
their duties, responsibilities and powers
• Making the directors aware of any law relevant to or affecting the company
• Reporting to the company’s board any failure on the part of the company or a director
to comply with the Memorandum of Incorporation or rules of the company or the Act
• Ensuring that minutes of all shareholders’ meetings, board meetings and the meetings
of any committees of the directors, or of the company’s audit committee, are properly
recorded in accordance with the Act
• Certifying in the company’s annual financial statements whether the company has filed
required returns and notice in terms of the Act, and whether all such returns and notices
appear to be true, correct and up to date
• Ensuring that a copy of the company’s annual financial statements is sent, in
accordance with the Act, to every person which is entitled to it
• Carrying out the functions of a person designated in terms of Section 33(3) of the Act?filing annual CIPC returns.
B. Insurance Industry Specific Compliance functions
• Provide assistance, support and guidance to the company in general and the Public
Officer in particular in order to ensure compliance with the Short-Term Insurance Act.
• Assist the board of directors and managing executives in carrying out their respective
responsibilities;
• Establish, implement and maintain a risk-based compliance plan;
• Promote a compliance culture that values responsible conduct and compliance with
internal and external obligations;
• Identify, assess and report on key legal and regulatory obligations and the risks
associated therewith, including obligations under the Short-Term Insurance Act;
• Assess the appropriateness of policies, processes and controls on respect of key areas
of legal, regulatory and ethical obligations and the effective monitoring thereof by the
insurer;
• Ensure that regular training is conducted on key legal and regulatory obligations
particularly for employees in positions of trust or responsibility or who are involved in
activities that have significant legal or regulatory risk;
• Facilitate the confidential reporting by employees of concerns, shortcomings or
• Potential non-compliance in respect of the insurer's policies, legal or regulatory
• Obligations, or ethical considerations;
• Monitor compliance shortcomings and instances of non-compliance, including
• Ensuring that adequate disciplinary actions are taken where appropriate and any
• Necessary reporting to the Registrar or other relevant regulatory authorities is made;
• Conduct regular assessments of the compliance function and the compliance
Policies and systems and implement or monitor needed improvements; and
• Ensuring the implementation and documentation of systems to implement the fit and
proper requirements for directors, managing executives, significant owners and the
heads of control functions as prescribed by the FSB.
2. General Operational and Corporate Legal Counsel Functions
• Arrange and co-ordinate board meetings, board sub-committee meetings and the
annual general meeting of members in accordance with the MOI and all applicable
legislation.
• Attend to all board secretarial functions for the board and the sub-committees in terms
of the applicable policies, charters and frameworks;
• Retention of company records and data as prescribed in the appropriate policies
adopted by the company and the applicable legislative and good governance prescripts
• Contract and supplier management
• Providing compliance support to the MD and the Executive Management team
• Scanning the environment to identify changes in the corporate and regulatory
landscape and advising the company on appropriate action to be taken
• Ensuring that the company complies with all applicable health and safety statutory
requirements and best practices
• Liaising with the Fund and other outsourced contractors on all matters falling within the
ambit of the role
• Drafting and vetting all contracts and policies
• Providing general corporate legal counsel services to the company

Must have matric and LLB degree
Must be an admitted Attorney
At least 5 years relevant experience
